1. Acceptance of Terms

By accessing and using the SpiceWorx website (spiceworx.com) and services, you agree to be bound by these Terms of Service ("Agreement"). If you do not agree to these terms, you must not use our Site or services.

2. Use License

SpiceWorx grants you a limited, non-exclusive, revocable license to access and use our website for lawful purposes only. You agree not to:

Violate any applicable laws or regulations
Infringe on any intellectual property rights
Harass, defame, or threaten any person or entity
Upload malware, viruses, or malicious code
Engage in unauthorized access or hacking
Reverse engineer, decompile, or attempt to discover source code
Automated scraping or data harvesting without written consent
Interfere with Site operation or servers
Use the Site for spam, phishing, or fraudulent purposes

3. Intellectual Property Rights

3.1 SpiceWorx IP

All content on the SpiceWorx website — including text, graphics, logos, images, code, and design — is owned by or licensed to SpiceWorx and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or transmit this content without written permission.

3.2 Client-Commissioned Work

For services such as web development, mobile apps, UI/UX design, and AI systems, intellectual property ownership is determined by the project contract. Unless otherwise agreed in writing:

Custom Development: You own the final deliverables (websites, applications, designs)
Pre-existing IP: SpiceWorx retains ownership of templates, libraries, frameworks, and code used in development
Third-Party Libraries: Licensed under respective open-source or commercial licenses

3.3 User Content

You retain ownership of content you submit (text, images, documents). By submitting content, you grant SpiceWorx a non-exclusive, royalty-free license to use that content for service delivery, improvement, and marketing (with your permission).

4. Service Descriptions & Limitations

4.1 Services Offered

SpiceWorx provides:

Website Development (custom and template-based)
Mobile App Development (native and cross-platform)
AI Chatbot for Business (RAG-powered chatbots and assistants)
Web Hosting & Maintenance (AWS-based cloud infrastructure)
UI/UX Design Services

4.2 Service Delivery Standards

We will deliver services in a professional and workmanlike manner consistent with industry standards. However:

Timelines are estimates and may change based on scope changes or delays in your feedback
We are not responsible for delays caused by client non-cooperation, incomplete requirements, or third-party services
Hosting availability is subject to AWS SLA (typically 99.99% uptime)
AI systems operate on best-effort basis; accuracy depends on training data and domain complexity

4.3 Third-Party Services

Our services may integrate third-party tools (Google Analytics, SendGrid, AWS, etc.). We are not responsible for their performance, downtime, or data handling. Review their terms separately.

5. Payment Terms

5.1 Pricing

Pricing is quoted per project scope. Quotes are valid for 30 days. Prices may include:

Development fees (one-time, fixed-price projects)
Monthly hosting and maintenance fees (recurring)
Hosting, domain, and SSL costs (pass-through, no markup)

5.2 Payment Schedule

Payment terms are specified in project contracts. Typical terms:

Development Projects: 50% deposit upon sign-off, 50% upon delivery
Hosting & Maintenance: Monthly payment due on project anniversary date
Late Payments: 1.5% monthly interest on overdue balances

5.3 Refunds & Cancellations

Refund policy varies by service:

Development: Non-refundable once work begins. Disputes resolved via negotiation or arbitration
Hosting: 30-day money-back guarantee if service does not meet SLA. Month-to-month cancellation with 30 days' notice
AI Systems: 2-week trial period with full refund if not satisfied during trial

6. Warranty Disclaimer

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

SpiceWorx disclaims all warranties including:

Merchantability or fitness for a particular purpose
Non-infringement of third-party rights
Uninterrupted or error-free service
Accuracy of information on the Site
Security against hacking or unauthorized access

You use our services at your own risk and assume all responsibility for results.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPICEWORKX SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Lost profits, revenue, data, or business interruption
Damage to reputation or loss of customers
Any claim, even if advised of the possibility of such damages

TOTAL LIABILITY LIMIT: In no event shall SpiceWorx's liability exceed the total amount you paid for services in the preceding 12 months (or $1,000 if no payment made).

8. Indemnification

You agree to indemnify and hold harmless SpiceWorx, its officers, directors, employees, and agents from any claims, damages, or costs (including attorney fees) arising from:

Your violation of these Terms
Your use of our services
Content you submit or upload
Your violation of third-party rights
Your violation of applicable laws

9. Confidentiality

9.1 Client Confidentiality

SpiceWorx will not disclose your business information, project details, or data without written consent, except:

To fulfill legal or regulatory obligations
To subcontractors under NDA
In anonymized form for case studies (with your permission)

9.2 Your Confidentiality Obligations

You agree not to disclose SpiceWorx's proprietary code, methods, pricing, or business practices without permission.

10. Modification & Termination

10.1 Service Changes

SpiceWorx reserves the right to modify services, pricing, and features with 30 days' notice. Continued use after notice constitutes acceptance.

10.2 Termination for Cause

We may terminate your access immediately if you:

Violate these Terms
Engage in illegal activity
Fail to pay outstanding invoices after 30 days
Threaten or harass staff

10.3 Termination for Convenience

You may terminate recurring services (hosting, maintenance) with 30 days' written notice. No refunds for services already delivered.

11. Limitation on Scope Changes

Project scope is defined by signed contracts. Scope changes requested after development begins:

Must be documented in writing
May incur additional fees and extend timelines
Require mutual written agreement before proceeding

12. Limitation on Hosting Guarantees

SpiceWorx hosts infrastructure on AWS and cannot guarantee:

100% uptime (we aim for 99.99%)
Immunity from security breaches (we implement industry-standard controls)
Data recovery beyond our published backup retention (30 days)
Performance under extreme traffic spikes

You are responsible for maintaining your own backups and disaster recovery plans.

13. Links to Third-Party Websites

Our Site may contain links to third-party websites. We do not endorse, control, or assume responsibility for external content. You access third-party sites at your own risk and should review their terms and privacy policies.

14. User Accounts & Credentials

If you create an account to access our Site:

You are responsible for keeping passwords confidential
You are liable for all activity under your account
You agree not to share accounts with unauthorized users
SpiceWorx may suspend accounts with suspicious activity

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Philippines, without regard to conflicts of law principles. You consent to the exclusive jurisdiction of Philippine courts.

15.2 Arbitration

For disputes involving clients outside the Philippines, either party may request binding arbitration under international arbitration rules. Costs are split equally.

15.3 Informal Resolution

Before legal action, parties agree to good-faith negotiation for 30 days.

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and project contracts, constitute the entire agreement between you and SpiceWorx regarding the use of our Site and services. No other representations or warranties apply unless expressly stated in writing and signed by both parties.

18. Changes to Terms

SpiceWorx may update these Terms at any time. Updates are effective upon posting. Your continued use of the Site after changes constitutes acceptance. For material changes, we will notify you via email at least 30 days before the change takes effect.
